SpecialistsGrid User Agreement

This User Agreement ("Agreement") governs your use of SpecialistsGrid.com, SpecialistsGrid-branded apps, and related services ("Services") offered by SpecialistsGrid Ltd. ("SpecialistsGrid," "we," "us," or "our"). By accessing or using our Services, you ("you" or "Member") agree to be bound by this Agreement. If you disagree with any part of this Agreement, you may not access or use the Services.

1. Eligibility and Account

• You must be at least 16 years old to use the Services.

• You agree to provide accurate and complete information when creating an account and keep it updated.

• You are responsible for maintaining the confidentiality of your account password and for all activity that occurs under your account.

• You may not create an account for anyone other than yourself or use the Services on behalf of another person or entity.

2. Content and License

• You retain all ownership rights to the content you submit to the Services.

• By submitting content, you grant SpecialistsGrid a non-exclusive, worldwide, transferable, sublicensable license to use, copy, modify, distribute, publish, and process your content for the purpose of providing and improving the Services.

• You are solely responsible for the content you submit and must ensure that it does not violate any third-party rights, including intellectual property rights.

• SpecialistsGrid may remove any content that violates this Agreement or that we deem inappropriate.

3. Prohibited Conduct

You agree not to:

• Use the Services for any illegal or unauthorized purpose.

• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

• Interfere with or disrupt the Services or servers or networks connected to the Services.

• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services.

• Use any automated means, including but not limited to, bots, scrapers, or spiders, to access the Services or collect information from the Services.

• Introduce any viruses, Trojan horses, worms, or other malicious code into the Services.

4. Third-Party Content and Services

• The Services may contain links to third-party websites or services that are not owned or controlled by SpecialistsGrid.

• SpecialistsGrid has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

• You acknowledge and agree that SpecialistsGrid shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

5. Disclaimer of Warranties

• THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

• SpecialistsGrid MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

• SpecialistsGrid DOES NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

6. Limitation of Liability

• TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SpecialistsGrid BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF SpecialistsGrid HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Data Processing and Inactive Accounts

• Data Processing: SpecialistsGrid processes personal data of registered users until their profile is deleted. Data about customer contacts are processed for the duration of the business relationship. Marketing data, including data used for sending commercial communications, targeting advertising, and improving SpecialistsGrid's offer, is processed for the duration of your consent. In the case of cookies, data is stored for as long as you allow cookies to be stored in the cookie settings on the websites or in your browser, depending on the expiration time of each cookie. Processing may therefore continue even after consent is revoked, but no later than the expiration of the relevant type of cookie.

• Commercial Communications: Commercial communications are sent only until you revoke the relevant consent or unsubscribe from receiving them.

• Inactive Accounts: If a user does not log in to their SpecialistsGrid profile for more than 3 years, they will be prompted to confirm their interest in using the services and update their profile. If the user does not respond to the prompt within 3 months, their profile will be frozen. The frozen profile will be anonymized after a further 3 months. Anonymization means that personal data willbe removed from the profile or modified so that it can no longer be linked to a specific individual.

8. Termination

• We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach this Agreement.

• Upon termination, your right to use the Services will immediately cease.

9. Governing Law and Dispute Resolution

• This Agreement shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

• Any dispute arising out of or relating to this Agreement shall be resolved exclusively by the courts of England and Wales.

10. Entire Agreement

• This Agreement constitutes the entire agreement between you and SpecialistsGrid relating to the subject matter herein and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and SpecialistsGrid.
